Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Zera mobile application or website (collectively, the “Service”) operated by Zera Inc. (“Zera”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age and a resident of the United States to use Zera. By using the Service, you represent and warrant that you meet these requirements. We reserve the right to terminate accounts of users found to be under 18.

2. Account Registration

To access most features of Zera, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your account credentials secure and confidential.
• Notify us immediately of any unauthorized use of your account.
• Be responsible for all activities that occur under your account.

You may register using your phone number (verified via OTP), or through third-party providers including Facebook, Google, or Apple. When using third-party login, you agree to comply with that provider's terms of service.

3. The Zera Platform

Zera is a marketplace platform that connects buyers and sellers across five verticals: Jobs, Goods, Services, Events, and Community. Zera acts as an intermediary and is not a party to transactions between users. We do not own, sell, resell, furnish, provide, or manage the goods, services, or jobs listed on the platform.

4. Payments & The Zera Wallet

• All payments on Zera are processed through Stripe Connect, subject to Stripe's Terms of Service.
• The Zera Wallet holds funds on your behalf. Withdrawals are subject to Stripe's payout schedule.
• Zera charges a platform fee on completed transactions, displayed before checkout.
• Refunds and disputes are handled through our built-in Buyer Protection flows.
• You are responsible for all applicable taxes on income earned through the platform.

5. Prohibited Conduct

You agree not to:

• Post false, misleading, fraudulent, or deceptive content.
• List prohibited, illegal, or counterfeit goods or services.
• Harass, threaten, or harm other users.
• Circumvent platform payments by transacting off-platform to avoid fees.
• Create multiple accounts to evade suspensions or bans.
• Use automated tools, bots, or scrapers to access the Service.
• Post spam, unsolicited promotions, or irrelevant content.
• Violate any applicable law or regulation.

Violation of these rules may result in immediate account suspension or termination.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Zera Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws.

By posting content on Zera, you grant Zera a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the Service. You represent that you own or have the right to post all content you submit.

7. Buyer Protection

Zera provides built-in Buyer Protection covering disputes, returns, refunds, and cancellations across all verticals. To initiate a dispute, open a request from your order details page within the applicable window. Zera's decision in disputes is final. Abuse of the Buyer Protection system may result in account termination.

8. Feature Ads

Feature Ads allow sellers to promote listings to the top of search results. Feature Ad fees are non-refundable once the promotion period has begun. Zera reserves the right to remove featured listings that violate our policies without refund.

9. Termination

We reserve the right to suspend or terminate your account at our discretion, with or without notice, for violation of these Terms or for any other reason. You may delete your account at any time through the app or by visiting our Delete Account page. Upon termination, your right to use the Service will immediately cease.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ZERA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZERA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO ZERA IN THE 12 MONTHS PRIOR TO THE CLAIM.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the “Last updated” date and, where appropriate, notifying you via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the revised Terms.
